Terms of Service
Effective date: August 14, 2026
Last updated: August 14, 2026
These Terms of Service (“Terms”) govern your access to and use of any website, landing page, funnel, form, scheduling page, checkout page, community, application, campaign, content, product, program, event, or service that links to these Terms (collectively, the “Services”). Please read them carefully. By accessing or using a Service, creating an account, submitting a form, or purchasing an Offer, you agree to these Terms and the Privacy Policy.
Umbrella Scope
Spa Accelerator is an umbrella brand for Services and Offers operated by Spa Accelerator and applicable businesses, affiliates, or brands it owns, manages, or operates. An order form, checkout, invoice, proposal, statement of work, patient document, or other offer-specific agreement may identify the actual provider and contain additional terms. Those specific terms control for that Offer if they conflict with these Terms.
Acceptance and Scope
If you do not agree to these Terms, do not access or use the Services. “Spa Accelerator,” “Company,” “we,” “us,” and “our” mean Spa Accelerator and/or the business identified as the operator or provider for the relevant Service or Offer. “You” means the person using the Service and, if applicable, the business or organization on whose behalf that person acts.
These Terms apply wherever they are linked or incorporated. A more specific written agreement signed by the applicable provider, or offer-specific terms displayed at purchase, supplement these Terms and control to the extent of a direct conflict.
Eligibility and Authority
You must be at least 18 years old and legally capable of entering a binding agreement. If you use a Service for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization. You may not use the Services if applicable law prohibits you from doing so.
Services and Offers
The Services may include free content, media, newsletters, digital business cards, applications, consulting, coaching, education, marketing or operational services, memberships, communities, events, digital products, referrals, scheduling, and other offers (each, an “Offer”). Features and Offers may change, and not every Service is available in every location.
The scope, deliverables, access period, schedule, pricing, payment terms, eligibility criteria, and other material details of a paid Offer are the details shown at purchase or stated in an applicable order form, proposal, statement of work, service agreement, patient document, or other offer-specific terms. You are responsible for reviewing those details before purchase.
Accounts, Access, and Security
Provide accurate, current, and complete information and keep it updated.
Keep passwords, links, and access credentials confidential. You are responsible for activity under your account unless caused by our breach of these Terms.
Do not share, resell, sublicense, or transfer account or members-only access unless the applicable Offer expressly allows it.
Notify us promptly if you suspect unauthorized access. We may require reasonable verification before restoring access or changing account details.
Purchases, Fees, and Taxes
Prices, payment schedules, and accepted payment methods will be disclosed at checkout or in offer-specific terms. Unless otherwise stated, prices are in U.S. dollars and exclude applicable taxes. You authorize the applicable provider and its payment processor to charge the payment method you provide for amounts due, including recurring charges that were clearly disclosed and accepted.
You represent that you are authorized to use the payment method. Failed, reversed, or overdue payments may result in suspension of access, collection activity, and recovery of reasonable costs allowed by law. You remain responsible for undisputed amounts due. Before initiating a chargeback, please contact us so we can try to resolve a billing issue; this does not limit rights that cannot legally be waived.
Subscriptions, Renewals, and Cancellation
If an Offer is sold as a subscription or recurring plan, the checkout or offer-specific terms will disclose the billing interval, renewal terms, and cancellation method. By enrolling, you authorize recurring charges until cancellation. You may cancel using the method disclosed at purchase or by contacting the applicable provider. Cancellation generally stops future renewals and does not retroactively refund charges already incurred, except as required by law or stated in offer-specific terms.
If a free or discounted trial converts to a paid plan, the conversion terms will be disclosed at enrollment. We will provide renewal or cancellation notices when required by applicable law.
Refunds
The refund, cancellation, rescheduling, and credit policy displayed for a specific Offer controls. If an Offer does not state a separate policy, amounts are nonrefundable after services have been performed or digital access, downloads, customized work, or reserved capacity have been provided, except where law requires otherwise. Approved refunds are returned to the original payment method when practicable.
Communications and Marketing Consent
By submitting contact information, you agree that we may contact you about your inquiry, application, appointment, account, transaction, or requested service. If you separately opt in to marketing calls or text messages, you consent to receiving them at the number provided, including through automated technology, an automatic telephone dialing system, or an artificial or prerecorded voice where permitted by law.
Marketing consent is not a condition of purchase. Message frequency varies. Message and data rates may apply.
Reply STOP to opt out of marketing texts and HELP for help, or contact us. We will honor legally valid revocation requests as required by law.
Use the unsubscribe link in a marketing email to opt out of future marketing emails. Transactional or service-related messages may still be sent.
You represent that you are the subscriber or customary user of the number provided and will notify us if the number changes.
Acceptable Use
You may use the Services only for lawful purposes and in accordance with these Terms. You may not:
Violate law, professional rules, another person’s rights, or an applicable platform policy.
Access, copy, record, scrape, crawl, index, reverse engineer, interfere with, or test a Service except as authorized by us or applicable law.
Bypass access controls; share restricted materials; introduce malware; disrupt infrastructure; or attempt unauthorized access to accounts, systems, or data.
Use content, templates, recordings, training, systems, or deliverables to create a competing product, resell access, train a model, or provide them to another person without written permission.
Upload unlawful, infringing, deceptive, defamatory, harassing, discriminatory, obscene, or malicious material.
Impersonate another person, misrepresent affiliation, submit false information, or use the Services for spam, unlawful surveillance, or unauthorized marketing.
Business Customer Responsibilities
If you use an Offer for a business, you remain responsible for your business decisions, advertising claims, pricing, customer communications, licenses, taxes, employment practices, professional standards, patient or customer consents, data practices, and compliance with law and platform rules. Unless a signed agreement says otherwise, we do not act as your legal, medical, financial, tax, compliance, or employment adviser.
Do not provide patient records, protected health information, complete payment-card data, Social Security numbers, or other regulated or highly sensitive data through a Service unless the applicable provider has expressly authorized that use in writing and any required agreement, including a business associate agreement, is in place. You represent that you have all rights, notices, and consents needed for data you provide and instructions you give.
User Content, Feedback, and Testimonials
You retain ownership of content you submit (“User Content”). You grant the applicable provider a nonexclusive, worldwide, royalty-free license to host, copy, process, transmit, display, and otherwise use User Content only as reasonably necessary to provide, secure, improve, and support the Services, comply with law, and exercise rights under these Terms. You represent that you have the rights needed to provide User Content and that it does not violate law or another person’s rights.
If you provide ideas, suggestions, or feedback, we may use them without restriction or compensation, provided we do not publicly identify you without permission. We will not use your name, image, logo, private results, review, or testimonial in public marketing unless you authorize that use, an agreement permits it, or the content was lawfully made public. Testimonial use remains subject to applicable advertising law.
Intellectual Property and Limited License
The Services and their content—including text, graphics, branding, videos, audio, software, templates, frameworks, training, compilations, and design—are owned by or licensed to the applicable provider and are protected by intellectual-property laws. Subject to these Terms and payment of applicable fees, you receive a limited, revocable, nonexclusive, nontransferable license to access and use the Service for its intended personal or internal business purpose during the applicable access period.
No ownership rights are transferred. Except where offer-specific terms expressly allow it, you may not reproduce, distribute, publicly display, publish, sell, license, modify, create derivative works from, or commercially exploit Service content without prior written permission. Spa Accelerator names, participating brand names, logos, and trade dress may not be used without authorization.
Third-Party Platforms, Links, and Services
Services may use or link to third-party platforms for websites, CRM, scheduling, payments, communications, analytics, advertising, social media, video, community, or other functions. Third-party terms and privacy notices govern your use of their services. We do not control and are not responsible for third-party content, availability, security, policies, or performance. A link or integration is not an endorsement.
Educational and Informational Content
Content is provided for general educational and informational purposes. It is not legal, tax, accounting, investment, financial, medical, mental-health, or other licensed professional advice and does not create a professional-client, fiduciary, doctor-patient, or similar relationship. You should consult qualified professionals about your circumstances and independently evaluate decisions.
Medical, Aesthetic, and Wellness Offers
A Digital Property may link to an Offer involving medical, aesthetic, or wellness services delivered by a separately identified provider. Website content is not a diagnosis, prescription, or substitute for an in-person or telehealth evaluation by a qualified clinician. Eligibility, risks, benefits, alternatives, expected results, consent, privacy, cancellations, and treatment terms for those services are governed by the provider’s patient documents and applicable law. If you believe you have a medical emergency, call emergency services immediately.
Artificial Intelligence and Automated Tools
Some Offers may use artificial-intelligence or automated tools to assist with content, analysis, workflows, follow-up, or recommendations. Automated outputs may be incomplete, inaccurate, biased, or unsuitable for a particular use. You are responsible for human review, fact-checking, professional oversight, and ensuring that any use of an output complies with law, privacy obligations, advertising rules, professional standards, and third-party rights.
No Guarantees; Results Vary
We may discuss strategies, examples, case studies, projections, testimonials, or results achieved by Spa Accelerator, a participating business, or a customer. They are illustrative only and do not promise or guarantee that you will achieve the same or any result. Business, marketing, financial, wellness, aesthetic, and other outcomes depend on many factors outside our control, including starting point, implementation, skill, effort, market conditions, team, budget, compliance, health, and individual response.
You accept the risk of your own decisions and expenditures. Unless a signed written agreement expressly states a specific guarantee and its conditions, no revenue, profit, lead volume, conversion rate, business growth, health, treatment, or aesthetic result is guaranteed.
Availability, Changes, and Errors
We may modify, suspend, discontinue, or restrict a Service or feature at any time, subject to offer-specific commitments and applicable law. We try to keep information accurate but do not warrant that descriptions, pricing, availability, or content are complete or error-free. We may correct errors and cancel or refuse an order affected by a material error, with an appropriate refund if payment was collected and the Offer is not provided.
Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” THE APPLICABLE PROVIDER DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT A SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR COMPATIBLE WITH EVERY DEVICE OR THIRD-PARTY PLATFORM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPA ACCELERATOR, THE APPLICABLE PROVIDER, AND THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR OPPORTUNITY; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM A PARTICULAR SERVICE OR OFFER WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO THE APPLICABLE PROVIDER FOR THAT SERVICE OR OFFER DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THIS LIMIT DOES NOT APPLY TO LIABILITY THAT CANNOT LEGALLY BE LIMITED, AND SOME JURISDICTIONS MAY PROVIDE ADDITIONAL RIGHTS.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Spa Accelerator, the applicable provider, and their owners, officers, employees, contractors, agents, licensors, and affiliates from third-party claims, liabilities, losses, damages, judgments, and reasonable costs arising from your User Content, your unlawful or unauthorized use of a Service, your breach of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim was caused by the indemnified party’s own unlawful conduct, gross negligence, or willful misconduct.
Suspension and Termination
You may stop using free Services at any time and may cancel paid access as described for the applicable Offer. We may suspend or terminate access if you materially breach these Terms, fail to pay, create a security or legal risk, misuse intellectual property, harass others, or if a Service is discontinued. Where practicable and appropriate, we may provide notice and an opportunity to cure. Provisions that by their nature should survive—such as payment obligations, intellectual property, disclaimers, limitations, indemnification, dispute terms, and miscellaneous provisions—will survive termination.
Copyright Complaints
If you believe content on a Service infringes your copyright, send a written notice to [email protected] identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a good-faith statement, a statement under penalty of perjury that the notice is accurate and you are authorized to act, and your physical or electronic signature. We may remove or restrict content and may forward the notice to the person who posted it.
Governing Law and Disputes
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles, except where mandatory consumer law requires otherwise. Before filing a claim, you and the applicable provider agree to make a good-faith effort for at least 30 days to resolve the dispute informally after written notice describing the issue and requested relief.
Unless applicable law requires another forum, any court proceeding arising from these Terms or a Service must be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and each party consents to personal jurisdiction and venue there. Nothing in this section prevents either party from seeking temporary or injunctive relief to protect intellectual property, confidential information, security, or access rights.
Changes to These Terms
We may update these Terms by posting a revised version with a new “Last updated” date. Changes apply prospectively from their effective date. If a material change affects an active paid Offer, we will provide additional notice when required by law or the offer-specific agreement. Continued use after the effective date constitutes acceptance where permitted by law; otherwise, you may stop using the affected Service.
Privacy and Electronic Communications
The Privacy Policy explains how Personal Information is handled and is incorporated into these Terms. You agree that notices and records may be provided electronically, including by posting, email, account message, or text where you have consented. You may retain electronic notices by saving or printing them. Your electronic acceptance has the same effect as a handwritten signature to the extent permitted by law.
Miscellaneous
Entire agreement. These Terms, the Privacy Policy, and applicable offer-specific terms are the entire agreement concerning the subject matter, except for a separate signed agreement.
Order of precedence. A signed agreement controls over an order form; an order form or offer-specific terms control over these Terms; and these Terms control over general website content, unless the controlling document states otherwise.
Severability. If a provision is unenforceable, it will be modified only as necessary or severed, and the remainder will remain effective.
No waiver. Failure to enforce a provision is not a waiver. A waiver must be in writing by the applicable provider.
Assignment. You may not assign these Terms without written consent. The applicable provider may assign them in connection with a reorganization, financing, sale, merger, or transfer of the relevant business or Service.
No third-party beneficiaries. These Terms do not create rights for anyone other than the parties and expressly protected persons.
Force majeure. No provider is liable for delay or failure caused by events beyond reasonable control, including natural disasters, utility or internet failures, labor disputes, war, civil unrest, government action, epidemics, cyberattacks, or third-party platform outages.
Interpretation. Section headings are for convenience. “Including” means “including without limitation.” These Terms will not be construed against a party merely because that party drafted them.
